1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the OrderOcean platform (“Service”), operated by DAATAA LIMITED (trading as OrderOcean) (“OrderOcean”, “we”, “us”). By registering for or using the Service, you agree to these Terms.

2. The Service

OrderOcean provides a multi-channel e-commerce management platform that enables you to manage inventory, orders, listings and fulfilment across connected marketplace accounts including eBay, Amazon, Etsy, TikTok Shop and Temu. The Service is provided on a subscription basis.

3. Account Registration

To use OrderOcean, you must create an account with accurate information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access at [email protected].

4. Marketplace Connections

OrderOcean integrates with third-party marketplaces via their API-based marketplace integrations. By connecting a marketplace account, you:

• Authorise OrderOcean to access and manage data in that account as necessary to provide the Service
• Confirm you have the right to authorise this access
• Agree to comply with the terms of service of each connected marketplace
• Understand that OrderOcean is not responsible for marketplace policy changes, API limitations or marketplace decisions affecting your seller account

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit harmful, fraudulent, or deceptive content
• Attempt to gain unauthorised access to our systems or other users’ accounts
• Reverse engineer or attempt to extract source code from the Service
• Use the Service in violation of any connected marketplace’s terms of service

6. Subscription and Payment

OrderOcean is available on a subscription basis. Fees are charged in advance on a monthly or annual basis as selected. All fees are in GBP and inclusive of VAT where applicable. We reserve the right to change pricing with 30 days’ notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

7. Free Trial

We offer a 14-day free trial with full access to the Service. No credit card is required to start a trial. At the end of the trial, you may choose to subscribe or your access will be suspended.

8. Intellectual Property

OrderOcean and its licensors retain all rights to the Service, including all software, trademarks, and content. You retain ownership of your data. You grant us a limited licence to process your data as necessary to provide the Service.

9. Data and Privacy

Our use of your data is governed by our Privacy Policy, which forms part of these Terms. We act as a data processor in relation to the personal data of your buyers that we process to fulfil orders on your behalf.

10. Limitation of Liability

To the maximum extent permitted by law, OrderOcean shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance that temporarily affects access and will endeavour to give advance notice where possible.

12. Termination

Either party may terminate the subscription at any time. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, your access to the Service will cease and we will handle your data in accordance with our Privacy Policy and applicable law.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or platform notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Etsy API Integration Terms

Marketplace API Dependency

OrderOcean’s Etsy integration depends on continued access to the Etsy Open API, which is provided by Etsy, Inc. under Etsy’s API Terms of Use. Etsy may suspend, modify, or terminate API access at any time and for any reason at its sole discretion. In such an event, OrderOcean will use reasonable endeavours to notify affected users and Etsy-related features will be unavailable until API access is restored or an alternative solution is implemented. OrderOcean is not liable for any interruption to the Etsy integration caused by Etsy’s actions or decisions regarding its API.

Seller Responsibility

By connecting your Etsy shop to OrderOcean, you confirm that you are the authorised owner or administrator of that Etsy shop and that you are authorised to grant OrderOcean access to it through Etsy’s OAuth 2.0 flow. You must only connect Etsy shops, listings, and content that you own or have the legal right to use. You must not use OrderOcean to access, copy, or synchronise listings, photographs, designs, or other content belonging to other Etsy sellers.

ORDEROCEAN IS PROVIDED BY DAATAA LIMITED (TRADING AS ORDEROCEAN) INDEPENDENTLY OF ETSY. ETSY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING ORDEROCEAN AND IS NOT RESPONSIBLE FOR ORDEROCEAN’S OPERATION, CONTENT, OR DATA PRACTICES. YOUR USE OF ORDEROCEAN IS GOVERNED BY ORDEROCEAN’S TERMS OF SERVICE AND PRIVACY POLICY, NOT BY ETSY’S POLICIES.

Data Handling

The processing of your Etsy shop data by OrderOcean is governed by our Privacy Policy and Data Retention Policy. By using the Etsy integration, you authorise OrderOcean to process your Etsy shop data as described in those documents.

Acceptable Use

You agree not to use OrderOcean to: (a) scrape, extract, or harvest data from Etsy outside of the authorised API; (b) circumvent any Etsy rate limits or access controls; (c) use Etsy buyer data for purposes beyond the fulfilment of orders; (d) violate Etsy’s API Terms of Use or any other Etsy policies.
